These Terms and Conditions ("Terms") set forth the rules and requirements for using the DELNEE platform and its associated services ("Services"). By creating an account or using the DELNEE platform, you agree to comply with these Terms.

1. Who We Are

DELNEE is operated by Connect Marketing Business Services (Commercial Registration: 1010794663), Jeddah, Kingdom of Saudi Arabia. DELNEE provides a technology platform that enables merchants to manage their business operations and connect with licensed third-party service providers. DELNEE does not directly provide delivery, payment, or financial services.

2. Eligibility

To use the DELNEE platform, you must be at least 18 years old and authorized to represent your business. As a user, you are responsible for all activities conducted through your account.

3. Platform Role

DELNEE provides a platform that facilitates connections between merchants and independent third-party service providers. DELNEE is not a party to any transaction between merchants and their customers and bears no responsibility for product quality, delivery outcomes, legality of goods, warranties, or returns.

4. User Responsibilities

• Provide accurate, complete, and truthful information at registration and maintain it current;
• Ensure all goods and services offered are lawful and compliant with the laws of Saudi Arabia;
• Comply with all applicable laws including the E-Commerce Law, Consumer Protection Law, and AML regulations;
• Keep login credentials secure and report any unauthorized access immediately;
• Not use the platform to list or sell prohibited, counterfeit, or illegal goods.

5. Third-Party Services

Services facilitated through DELNEE, including delivery and payment processing, are provided by independent third-party vendors. DELNEE does not control or guarantee the quality, reliability, or timeliness of these services and is not liable for any loss or damage from third-party acts or omissions.

6. Payments and Settlement Balance

Payments are processed by licensed third-party payment service providers. DELNEE may display a Platform Settlement Balance used solely for transaction reconciliation. This balance does not constitute an electronic wallet, stored-value account, payment account, or financial service. DELNEE does not hold funds on behalf of users.

7. Fees

DELNEE reserves the right to charge service or transaction fees, clearly displayed on the platform. Users will be notified of any changes at least fourteen (14) days before the effective date.

8. Prohibited Use

• Unlawful activities of any kind;
• Submission of false, misleading, or fraudulent information;
• Misuse or unauthorized access to platform data or systems;
• Interfering with or disrupting platform operations;
• Uploading or distributing harmful, defamatory, or unlawful content;
• Money laundering or terrorism financing;
• Shipping prohibited, counterfeit, or illegal goods;
• Circumventing the platform to deal directly with DELNEE's third-party service providers;
• Transferring account access to unauthorized parties.

9. Suspension and Termination

DELNEE may suspend or terminate a user account immediately upon violation of these Terms, misuse of the platform, suspected fraudulent or illegal activity, or failure to settle outstanding fees.

Users may request account closure at any time by writing to support@delnee.io. Prepaid fees are non-refundable except as required by Saudi consumer protection laws.

10. Intellectual Property

All rights to the DELNEE platform belong to Connect Marketing Business Services or its licensors. Users retain ownership of their own business data and content uploaded to the platform.

11. Disclaimer

The DELNEE platform is provided "as is" and "as available," without any warranties of any kind. DELNEE does not warrant uninterrupted or error-free access.

12. Limitation of Liability

To the maximum extent permitted by Saudi law, DELNEE is not liable for any indirect, incidental, consequential, or punitive damages. DELNEE's total liability shall not exceed the fees paid by the user in the three (3) months preceding the claim.

13. Indemnity

You agree to indemnify DELNEE, its officers, employees, and affiliates from any claims, losses, and costs arising from your products or services, your content, your misuse of the Services, or your violation of these Terms.

14. Privacy

Your use of the DELNEE platform is subject to our Privacy Policy, which forms an integral part of these Terms.

15. Confidentiality

DELNEE will not disclose your confidential information to third parties except as necessary to operate the Services or as required by law. You undertake not to disclose platform details or pricing to third parties without prior written consent.

16. Changes to Terms

DELNEE may update these Terms periodically. Material changes will be notified at least fourteen (14) days before the effective date.

17. Governing Law and Jurisdiction

These Terms are governed exclusively by the laws of the Kingdom of Saudi Arabia. The Commercial Courts in Jeddah shall have exclusive jurisdiction over any disputes.

Addendum 2. Electronic Acceptance

By creating an account or clicking "Accept," you acknowledge that these Terms constitute a legally binding electronic agreement under Saudi electronic transactions laws.

Addendum 3. ZATCA Compliance

The platform provides tools to assist merchants in generating ZATCA-compliant tax invoices. The merchant remains solely responsible for accuracy and full compliance with ZATCA regulations. DELNEE's tools assist with technical formatting only and do not constitute tax advice.

Addendum 4. Settlement Balance

The settlement balance is used exclusively for transaction reconciliation. DELNEE does not hold funds and this balance does not constitute an electronic wallet or payment service.

Addendum 5. Personal Data Protection

DELNEE processes personal data in accordance with the Saudi PDPL. Merchants collecting customer data through the platform are independent data controllers responsible for obtaining valid consent.

Addendum 6. Consumer Protection

Nothing in these Terms excludes or limits any mandatory rights granted under Saudi consumer protection laws.

Addendum 7. Complaints Mechanism

Users may submit complaints via the platform or by email to support@delnee.io. DELNEE will respond within thirty (30) days.

Addendum 8. Force Majeure

DELNEE is not liable for any failure caused by events beyond its reasonable control, including natural disasters, governmental actions, network failures, or cyberattacks.

Addendum 9. Severability

If any provision is found invalid, the remaining provisions shall remain in full force and effect.

DELNEE does not provide payment services, electronic money services, or payment aggregation services. All payment transactions are processed directly through licensed third-party payment providers.
